3. Service Description
Colibri Delivers connects users with local restaurants and independent delivery drivers to order food, groceries, and related goods. Colibri is a facilitator only; we do not prepare, manufacture, or sell the goods directly.
4. Orders & Payments
- Orders are subject to acceptance by the restaurant.
- Prices include applicable taxes, delivery fees, and service charges.
- Payments are processed via secure third-party payment gateways.
- By using our Service, you authorize charges to your selected payment method.
- All sales are final unless otherwise stated in writing or required by law.
- Disputes, refunds, and adjustments are evaluated on a case-by-case basis.
5. Delivery Terms
- Estimated delivery times are provided for convenience and are not guaranteed.
- Delivery methods may include motorbike, car, boat, or foot, depending on your location.
- If no one is available to receive the order, it may be left at the door or designated spot. You bear responsibility after drop-off.
- Extreme weather, infrastructure limitations, and regional challenges may cause delays.
6. Cancellation Policy
- Orders may be canceled within a short grace period after placement. Once food preparation begins, cancellations may be restricted.
- If a restaurant or driver cancels, you will receive a full refund or store credit.
- Repeat abuse of the cancellation system may result in account suspension.
7. International Use
- Our service is available in multiple countries. You are responsible for complying with the laws of the country or jurisdiction in which you use the app.
- Services, tax rates, and availability may vary by region.
- Currency conversions may apply and are handled by your payment provider.
8. Restaurant & Vendor Responsibility
- Restaurants are solely responsible for preparation, packaging, food safety, and compliance with applicable food regulations.
- We do not guarantee that food is allergen-free or meets dietary restrictions.
- Always confirm ingredients directly with the restaurant if you have concerns.
9. Driver Responsibility
- Delivery partners are independent contractors.
- We vet drivers with basic checks, but we are not liable for their conduct or performance.
- Any disputes regarding delivery service should be reported through the app or via our support team.
10. User Conduct
You agree not to:
- Abuse, harass, impersonate, or threaten others
- Submit false information or payment details
- Use the platform to commit fraud or exploit promotions
- Violate any local, national, or international law using the app
Violation may lead to account suspension or legal action.
11. Platform Availability
- We aim for continuous service, but uptime is not guaranteed.
- Outages may occur for maintenance, upgrades, or unforeseen issues, especially in remote or developing areas.
- Colibri Delivers is not liable for loss due to temporary outages or errors.
12. Intellectual Property
- All content, code, design, and branding of Colibri Delivers are protected intellectual property.
- You may not copy, modify, distribute, or exploit any part of our platform without written permission.
- Any unauthorized use will result in termination of access and potential legal consequences.
13. Limitation of Liability
To the fullest extent permitted by law:
- Colibri Delivers is not liable for indirect, incidental, punitive, or consequential damages arising from the use or inability to use the Service.
- We are not responsible for third-party services (restaurants, drivers, payment processors).
- Our liability in all cases shall be limited to the amount you paid for the relevant order.
14. Indemnification
You agree to defend, indemnify, and hold harmless Colibri Delivers, its founders, affiliates, contractors, employees, and agents from all claims, losses, liabilities, damages, and expenses (including attorney fees) arising out of:
- Your misuse of the Service
- Your violation of these Terms
- Any violation of law or rights of a third party
15. Dispute Resolution
- You agree to attempt informal resolution by contacting our support team before filing a formal claim.
- If unresolved, all claims shall be submitted to binding arbitration or applicable court jurisdiction.
- These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of laws principles.
- Additionally, you agree to comply with the laws of the country or region you are physically located in at the time of using the Service.
- Venue for legal proceedings shall be Teton County, Wyoming, USA, unless local law dictates otherwise.
16. Governing Law
These Terms are governed by:
- The laws of the State of Wyoming, United States, where Colibri Delivers is registered
- The local laws of the jurisdiction where the user accesses the Service
In case of conflict, the law offering the greatest consumer protection shall apply.
17. Updates to Terms
We may revise these Terms at any time. Updates will be posted on our website or app. Continued use of the platform constitutes acceptance of the updated Terms.
